1. Acceptance of Terms

By accessing and using the services of Sparklusion.agency ("we," "our," or "the Company"), operated by Sparklusion Media, you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree to these terms, you must not use our services.

2. Services Provided

Sparklusion.agency provides premium digital marketing, web development, app development, influencer marketing, photography, videography, and related services. All services are provided on a project or subscription basis as agreed upon in the service agreement or invoice.

3. Service Fees & Payment Terms

3.1 Pricing: All prices quoted are in Indian Rupees (INR) and are exclusive of applicable Goods and Services Tax (GST) at 18%, unless stated otherwise.

3.2 Payment Schedule:

• For monthly subscription services: Full payment is due before the start of each month.
• For project-based services: 50% advance payment is required to commence work, with the remaining 50% due upon project completion.
• Custom packages: Payment terms will be specified in the signed proposal or agreement.

3.3 Late Payments: Late payments will incur a penalty of 2% per month (24% per annum) on the outstanding amount. Services may be suspended until full payment is received.

3.4 Payment Methods: We accept payments via bank transfer, UPI, credit/debit cards, and other approved digital payment methods.

4. Client Obligations

4.1 Clients must provide accurate, complete, and timely information required for service delivery, including but not limited to brand assets, content, access credentials, and feedback.

4.2 Delays caused by the Client's failure to provide necessary information or approvals may result in project timeline extensions without additional cost to the Company.

4.3 Clients are responsible for ensuring all materials provided (text, images, videos, logos) do not infringe on third-party intellectual property rights.

5. Intellectual Property Rights

5.1 Ownership: Upon full payment, the Client will own the final deliverables (websites, apps, content) created specifically for them. However, the Company retains ownership of all underlying code, frameworks, templates, and proprietary methodologies.

5.2 Portfolio Use: The Company reserves the right to showcase completed projects in its portfolio, case studies, and marketing materials unless a non-disclosure agreement (NDA) is signed.

5.3 Third-Party Licenses: Some deliverables may include third-party software, plugins, or assets (e.g., stock images, fonts) that are licensed separately. The Client is responsible for complying with these licenses.

6. Service Level Agreement (SLA)

6.1 Timelines: Project timelines are estimates and may vary based on project complexity and Client responsiveness. The Company will make reasonable efforts to meet agreed-upon deadlines.

6.2 Revisions: Each service package includes a specified number of revisions (typically 2-3 rounds). Additional revisions will be charged separately.

6.3 Support: Post-launch support periods vary by service. Website maintenance and bug fixes are provided for 30 days post-launch at no additional cost. Extended support requires a separate maintenance contract.

7. Cancellation & Termination

7.1 Client Cancellation:

• Subscription services require 30 days' written notice for cancellation. No refunds will be provided for the current billing cycle.
• For project-based services, if the Client cancels after work has commenced, the advance payment is non-refundable, and the Client must pay for work completed to date at the Company's standard hourly rate.

7.2 Company Termination: The Company reserves the right to terminate services immediately if:

• The Client fails to make payments as agreed.
• The Client engages in abusive, harassing, or illegal behavior.
• The Client's requests violate applicable laws or ethical standards.

7.3 Effect of Termination: Upon termination, the Client must pay all outstanding fees. The Company will deliver work completed to date, and the Client's access to Company-hosted services may be suspended.

8. Refund Policy

ALL PAYMENTS ARE NON-REFUNDABLE. Due to the nature of digital services, once work has commenced or a subscription period has started, no refunds will be issued. See our separate Cancellation & Refund Policy for full details.

9. Limitation of Liability

9.1 The Company's total liability for any claims arising from services provided shall not exceed the total fees paid by the Client for the specific service in question.

9.2 The Company is not liable for:

• Loss of profits, revenue, or business opportunities.
• Indirect, incidental, or consequential damages.
• Data loss due to Client error or third-party actions.
• Downtime caused by third-party hosting providers, domain registrars, or internet service providers.
• Changes in search engine algorithms or social media platform policies affecting campaign performance.

9.3 The Company does not guarantee specific outcomes, rankings, traffic, or sales results from marketing campaigns. All projections and estimates are provided in good faith but are not warranties.

10. Warranty Disclaimer

Services are provided "AS IS" and "AS AVAILABLE." The Company makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The Company does not warrant that services will be uninterrupted, error-free, or secure.

11. Indemnification

The Client agrees to indemnify, defend, and hold harmless Sparklusion Media, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• The Client's breach of these Terms.
• The Client's violation of any law or third-party rights.
• Content or materials provided by the Client.

12. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the engagement. This obligation survives termination of the service agreement.

13. Force Majeure

The Company shall not be liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, internet outages, or third-party service failures.

14. Governing Law & Dispute Resolution

14.1 Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of India. The courts of Delhi, India shall have exclusive jurisdiction over any disputes.

14.2 Arbitration: Any disputes arising from these Terms or services provided shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be settled through binding arbitration in New Delhi under the Arbitration and Conciliation Act, 1996.

14.3 Waiver of Class Action: Both parties agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Modification of Terms

The Company reserves the right to modify these Terms at any time. Clients will be notified of material changes via email. Continued use of services after changes take effect constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with any signed proposals, service agreements, and policies referenced herein, constitute the entire agreement between the Client and the Company and supersede all prior communications, understandings, and agreements.

Cancellation & Refund Policy

1. Non-Refundable Policy Overview

ALL PAYMENTS MADE TO SPARKLUSION.AGENCY ARE STRICTLY NON-REFUNDABLE.

This policy applies to all services, including but not limited to Brand Building, Website Development, App Development, Influencer Marketing, Photography, Videography, Event Management, and all other digital services offered by Sparklusion Media.

2. Why We Have a No-Refund Policy

As a premium digital agency, we provide highly customized, time-intensive services that involve:

• Immediate Resource Allocation: Once you engage our services, our expert team begins strategizing, designing, and executing your project immediately.
• Bespoke Solutions: Every project is tailored specifically to your business needs. Unlike physical products, digital services cannot be "returned."
• Opportunity Cost: When we accept your project, we often decline other opportunities. Once work begins, we've committed our resources exclusively to your success.
• Intellectual Property: You receive access to our proprietary strategies, methodologies, and expertise that have been developed over years.

3. Service-Specific Refund Terms

3.1 Monthly Subscription Services (Brand Building, Social Media Management, Google Ads Management)

• All subscription payments are non-refundable once the billing cycle has started.
• If you wish to cancel, you must provide 30 days' written notice. Services will continue until the end of the current paid period.
• No pro-rated refunds will be issued for partial months.
• Example: If you pay ₹49,999 + GST on January 1st and cancel on January 15th, services will continue until January 31st, but no refund will be issued for the unused period.

3.2 Project-Based Services (Website Development, App Development, Custom Web Applications)

• The 50% advance payment required to commence work is completely non-refundable once the project kickoff meeting has occurred and work has begun.
• If you cancel mid-project, the advance is forfeited, and you must pay for all work completed to date at our standard hourly rate (₹5,000/hour for senior developers).
• The final 50% payment is due upon project completion and is also non-refundable.
• Revisions beyond the agreed scope will incur additional charges and are non-refundable.

3.3 Influencer Marketing & Campaign Services

• All influencer marketing payments are non-refundable as we immediately allocate budgets to influencer partnerships and content creation.
• Once influencer contracts are signed or content creation has begun, no cancellations or refunds are possible.
• Campaign performance is based on industry benchmarks; we do not guarantee specific engagement rates or sales conversions.

3.4 Photography & Videography Services

• Booking fees and advance payments are non-refundable.
• Cancellations made less than 7 days before the scheduled shoot date will result in forfeiture of 100% of the booking fee.
• Rescheduling is allowed once without penalty if done at least 7 days in advance. Subsequent reschedules will incur a ₹5,000 rescheduling fee.

3.5 Event Management Services

• Vendor deposits, venue bookings, and advance payments made on your behalf are non-refundable.
• Cancellations made more than 30 days before the event: 50% of total fees forfeited.
• Cancellations made 15-30 days before the event: 75% of total fees forfeited.
• Cancellations made less than 15 days before the event: 100% of total fees forfeited.

4. Exceptions (The Only Scenarios Where Refunds May Be Considered)

Refunds will ONLY be considered in the following extremely rare circumstances:

4.1 Service Non-Delivery Due to Company Fault

If Sparklusion Media completely fails to deliver any service due to gross negligence or willful misconduct (not due to Client delays or failure to provide required materials), a partial refund may be considered on a case-by-case basis.

4.2 Duplicate or Erroneous Payments

If you are accidentally charged twice for the same service due to a technical error on our part, the duplicate charge will be refunded within 7-10 business days.

4.3 Pre-Commencement Cancellation

If you cancel your order before any work has commenced (i.e., before the kickoff meeting, before strategy session, before any deliverables), you may receive a refund minus a 25% administrative and opportunity cost fee.

Important: Once the kickoff meeting occurs or work begins, this exception no longer applies.

5. What Constitutes "Work Commenced"

Work is considered to have commenced when any of the following occur:

• A kickoff meeting or strategy session is held.
• Our team begins research, planning, or strategy development.
• Any designs, wireframes, content, or code are created.
• Influencers are contacted or contracts are drafted.
• Photography/videography equipment is reserved or crew is scheduled.
• Social media campaigns are launched or ads are created.
• Vendor deposits are made on your behalf.

6. No Refunds for Change of Mind

We do not offer refunds if:

• You change your mind after signing the agreement or making payment.
• You decide to use a different agency or bring services in-house.
• Your business priorities or budget change.
• You are dissatisfied with results that fall within industry-standard performance ranges.
• You fail to provide required materials, feedback, or approvals in a timely manner.

7. Refund Request Process

If you believe you qualify for a refund under Section 4 above, you must:

1. Submit a written refund request to hello@sparklusion.com within 7 days of payment.
2. Provide detailed justification with supporting evidence.
3. Allow up to 14 business days for our team to review your request.

All refund decisions are at the sole discretion of Sparklusion Media management and are final.

8. Refund Processing Time

If a refund is approved (which is rare), it will be processed within 14-21 business days to the original payment method. Please note:

• Bank processing times may add an additional 5-7 business days.
• GST paid cannot be refunded by us; you must claim it through your GST returns.
• Payment gateway fees (typically 2-3%) are non-refundable.

9. Chargebacks & Disputes

IMPORTANT: Initiating a chargeback or payment dispute without first contacting us is considered a breach of these terms and may result in:

• Immediate suspension of all services.
• Legal action to recover fees and damages.
• Reporting to credit agencies.
• Forfeiture of all work product and deliverables.
• Blacklisting from future services.

We take chargebacks very seriously. If you have a legitimate dispute, contact us first at hello@sparklusion.com.

10. Cancellation Process

To cancel services, you must:

1. Send written notice to hello@sparklusion.com with "CANCELLATION REQUEST" in the subject line.
2. Include your name, company name, service details, and reason for cancellation.
3. For subscription services, provide at least 30 days' notice before your next billing date.

Verbal cancellations, social media messages, or WhatsApp requests are NOT considered official cancellation notices.

11. Post-Cancellation Obligations

Upon cancellation:

• You must pay all outstanding invoices immediately.
• We will deliver work completed to date in its current state.
• You forfeit access to Company-hosted services (websites, apps, accounts).
• You are responsible for migrating data and content at your own expense.
• We reserve the right to delete all files and data 30 days after cancellation.

Sparklusion.agency provides digital services, not physical products. Our deliverables include but are not limited to:

• Digital marketing strategies and campaign management
• Websites, web applications, and mobile apps
• Social media content and management
• Photography and videography (delivered digitally)
• Consulting, strategy sessions, and reports
• Event management and coordination services

As such, "delivery" refers to the provision of services and digital deliverables, not the shipment of physical goods.

2. Service Delivery Timelines

2.1 Brand Building & Digital Marketing Services

Subscription Start Date: Services commence on the date of payment confirmation, typically within 24-48 hours of receiving full payment.

Ongoing Deliverables:

• Initial strategy session: Within 3-5 business days of payment
• Social media content calendar: Delivered by the 5th of each month
• Weekly performance updates: Every Monday via email
• Monthly comprehensive reports: Delivered by the 3rd business day of the following month
• Ad campaigns: Launched within 5-7 business days of approval

2.2 Website Development

Project Timeline: Standard website development takes 4-8 weeks from kickoff, depending on complexity.

Delivery Milestones:

• Kickoff meeting & requirements gathering: Within 3 business days of payment
• Wireframes & design mockups: Week 1-2
• Client review & revision: Week 2-3
• Development & coding: Week 3-6
• Testing & quality assurance: Week 6-7
• Client review & final revisions: Week 7-8
• Launch & deployment: Week 8
• Post-launch support: 30 days from launch date

Important: Timelines depend on timely Client feedback and approval. Delays in providing content, approvals, or feedback will extend the delivery timeline proportionally.

2.3 Mobile App Development (Android & iOS)

Project Timeline: 10-16 weeks for standard apps; complex apps may take 20+ weeks.

Delivery Milestones:

• Discovery & planning: Week 1-2
• UI/UX design: Week 2-4
• Development (Alpha): Week 4-10
• Beta testing: Week 10-12
• Revisions & optimization: Week 12-14
• App store submission: Week 14-15
• Launch: Week 15-16 (subject to App Store/Play Store approval)

2.4 Influencer Marketing Campaigns

Campaign Setup: 7-14 days from payment confirmation to campaign launch

Deliverables Timeline:

• Content creation by influencers: 7-21 days (varies by influencer)

2.5 Photography & Videography Services

Shoot Scheduling: Within 7-14 days of booking confirmation (subject to availability)

Delivery Timeline:

• Raw footage backup: Available same day (if requested)
• Edited photos: 7-10 business days post-shoot
• Edited videos (short form/reels): 10-14 business days post-shoot
• Edited videos (long form): 14-21 business days post-shoot
• Rush delivery (50% surcharge): 3-5 business days

Delivery Format: Digital delivery via cloud link (Google Drive, Dropbox, or WeTransfer). Physical media (USB/hard drive) available upon request for additional ₹2,500 + shipping.

2.6 Event Management Services

Planning Timeline: Minimum 45 days advance notice required for events; 90+ days recommended for large corporate events.

Service Delivery: On-site coordination and execution on the event date as per agreed scope of work.

3. Factors That May Affect Delivery Timelines

While we strive to meet all deadlines, the following factors may cause delays:

• Client Delays: Late provision of content, materials, feedback, or approvals
• Scope Changes: Mid-project scope expansions or significant change requests
• Third-Party Dependencies: Delays by hosting providers, domain registrars, app stores, or influencers
• Force Majeure: Natural disasters, pandemics, government restrictions, or other unforeseeable circumstances
• Technical Issues: Unforeseen bugs, compatibility issues, or platform limitations

In such cases, we will promptly notify the Client and provide a revised timeline.

4. Delivery Methods

4.1 Digital Deliverables

All digital work products will be delivered via:

• Email: For documents, reports, and small files
• Cloud Storage: Google Drive, Dropbox, or similar for large files (photos, videos, source files)
• Client Portal: Secure login access for websites, apps, and dashboards
• Live Deployment: Websites and apps delivered live on Client's domain/hosting or app stores

4.2 Physical Deliverables (If Applicable)

For physical items (USB drives, printed reports, promotional materials), delivery is via:

• Courier services (BlueDart, DTDC, or similar)
• Estimated delivery: 3-7 business days within India
• Tracking information provided upon dispatch
• Shipping charges apply (₹500-₹1,500 depending on location)

5. Acceptance & Approval Process

5.1 Review Period: Clients have 7 business days to review deliverables and request revisions (within the agreed scope).

5.2 Approval: If no feedback is provided within 7 business days, deliverables are considered accepted.

5.3 Revisions: Each service package includes a specified number of revisions (typically 2-3 rounds). Additional revisions beyond the agreed scope will be charged at our standard hourly rate.

5.4 Final Acceptance: Once the Client provides written approval (via email), the project is considered complete, and no further revisions will be made without additional charges.

6. Client Responsibilities for Timely Delivery

To ensure timely delivery, the Client must:

• Provide all required materials (content, images, logos, credentials) within 3 business days of request
• Respond to queries and provide feedback within 5 business days
• Approve milestones and deliverables promptly
• Designate a single point of contact for all communications
• Ensure all stakeholders are available for scheduled meetings

Client-Caused Delays: If the Client fails to meet these responsibilities, delivery timelines will be extended accordingly, and the Company will not be held liable for delays.

7. Rush Delivery & Expedited Services

For urgent projects, rush delivery is available at an additional cost:

• 50% Timeline Reduction: 50% surcharge on total project cost
• 75% Timeline Reduction: 100% surcharge on total project cost

Rush delivery is subject to team availability and may not be possible for all projects. Contact us to check feasibility.

8. Delivery Confirmation

Upon completion, the Company will notify the Client via email with:

• Summary of deliverables
• Access links or download instructions
• User guides or documentation (if applicable)
• Training session scheduling (if included in package)

The Client must acknowledge receipt within 3 business days.

9. Post-Delivery Support

9.1 Warranty Period: All services include a post-delivery support period:

• Websites: 30 days of bug fixes and technical support
• Apps: 30 days of bug fixes post-launch
• Digital Marketing: Ongoing support during subscription period

9.2 Extended Support: After the warranty period, support is available through:

• Annual maintenance contracts (AMC)
• Hourly support packages
• Priority support plans

10. Intellectual Property Transfer Upon Delivery

Upon full payment and final delivery:

• The Client receives ownership of custom-created deliverables (designs, content, code specific to their project)
• The Company retains ownership of proprietary frameworks, templates, and methodologies
• Third-party assets (stock photos, fonts, plugins) remain subject to their respective licenses

11. Redelivery & Corrections

If deliverables do not meet the agreed specifications:

• The Client must report issues within 7 business days of delivery
• The Company will correct legitimate issues at no additional cost
• Corrections will be completed within 5-7 business days
• If issues are due to Client error or changed requirements, additional fees apply

12. Failed Delivery Due to Client Issues

If the Company cannot deliver services due to:

• Client's failure to provide required materials after multiple requests
• Client's unavailability for more than 30 days
• Client's repeated rejection of deliverables that meet agreed specifications

The Company may terminate the project, and all payments made will be retained as per the Cancellation & Refund Policy.

13. Service Availability & Uptime

For hosted services (websites, apps, cloud services):

• Uptime Guarantee: 99.5% uptime (excluding scheduled maintenance)
• Scheduled Maintenance: Announced 48 hours in advance, typically during low-traffic hours
• Unplanned Downtime: The Company will make reasonable efforts to restore services promptly but is not liable for losses due to downtime caused by third-party providers

14. Data Backup & Retention

14.1 Backup Policy:

• All project files are backed up weekly during active development
• Final deliverables are stored for 90 days post-delivery
• After 90 days, the Client is responsible for maintaining their own backups

14.2 Data Retrieval: If the Client requests source files or backups after the 90-day period, a data retrieval fee of ₹5,000 applies (if data is still available).

15. Modification of Delivery Policy

The Company reserves the right to update this Delivery & Service Policy at any time. Clients will be notified of material changes via email. Continued use of services constitutes acceptance of the updated policy.

16. Disputes Related to Delivery

If there is a dispute regarding delivery:

1. The Client must contact us in writing at hello@sparklusion.com within 7 days
2. Both parties will attempt to resolve the issue through good-faith negotiation
3. If unresolved, the matter will be handled according to the dispute resolution process outlined in our Terms & Conditions
